Terms of Use

1. General Provisions and Acceptance

These Terms govern your access to and utilization of the smartapp.az platform across all web, mobile, and connected digital interfaces. If you are entering into these Terms on behalf of a company, restaurant, coffee shop, or other legal entity, you represent and warrant that you possess full legal authority to bind such entity to these conditions.

If you do not agree with any provision of these Terms, you must immediately discontinue your access to the platform and refrain from using any associated software services.

2. Description of Services and Operational Scope

smartapp.az provides cloud-based software-as-a-service (SaaS) business management and automation solutions designed for the hospitality, food and beverage, and service industries. Core functionality includes:

• Interactive QR Menu creation, real-time item availability management, and multilingual customer ordering portals
• Cloud Point-of-Sale (POS) cash register interfaces for order taking, table layout mapping, and bill splitting
• Digital Kitchen Display System (KDS) for real-time station routing, order prep tracking, and latency analytics
• Inventory management, recipe costing, stock deduction, and low-inventory notification alerts
• Multi-branch performance monitoring, staff permissions, attendance logging, and consolidated analytics dashboards

smartapp.az operates strictly as a software management platform. The platform is not a fiscal cash register, tax recording mechanism, or bank financial institution.

3. Legal Disclaimer and Tax Responsibility

smartapp.az is an internal business management and operational analytics platform. It does not replace, substitute, or fulfill mandatory state fiscal cash register obligations.

The Merchant is solely and exclusively responsible for complying with all applicable fiscal, tax, revenue, and accounting laws of the Republic of Azerbaijan and any other relevant jurisdictions in which they conduct business operations.

smartapp.az bears no liability or responsibility for the accuracy of tax calculations entered by the User, fiscal reporting compliance, issuance of fiscal receipts to end-consumers, or disputes arising with state tax and revenue authorities.

4. Account Registration, Security, and Eligibility

To access administrative features, users must complete registration by providing accurate, current, and complete legal business and personal contact details.

The User is entirely responsible for maintaining the confidentiality of their login credentials, passwords, and API access keys, as well as for all activities conducted under their administrative or staff accounts.

The platform is intended exclusively for commercial entities and individuals aged 18 years or older possessing full legal capacity.

5. Free Trial Period and Evaluation

smartapp.az offers an unconditional 14-day free trial period for new accounts to evaluate all features, including QR menu customization, POS ordering, KDS screen integration, and reporting capabilities.

No credit card deposit or upfront financial commitment is required during the trial period. Upon expiration of the 14 days, continued access requires selecting an active subscription plan.

6. Subscription Plans, Billing, and Price Adjustments

Platform services are provided on a recurring subscription basis (monthly or annual billing cycles). Fees are determined by the chosen tier (e.g., Starter, Standard, Smart Business Plan) and the number of active branches.

Subscription payments can be made via accepted electronic banking cards, corporate bank transfers, or supported digital payment channels. smartapp.az reserves the right to modify subscription tariffs upon reasonable advance notice to users.

7. Prohibited Uses and Platform Integrity

Users agree not to engage in any activity that undermines the security, availability, or integrity of the platform, including but not limited to:

• Attempting unauthorized access, vulnerability scanning, reverse engineering, or scraping of platform code
• Uploading malicious scripts, ransomware, automated crawlers, or harmful code payloads
• Using the platform to conduct unlawful commercial activities or violate third-party intellectual property rights

8. Service Availability, Maintenance, and Limitation of Liability

smartapp.az strives to maintain continuous 99.9% platform availability. However, service may occasionally be interrupted for scheduled maintenance, updates, or unforeseen external network anomalies.

To the maximum extent permitted by applicable law, smartapp.az and its affiliates shall not be liable for any indirect, incidental, consequential, or punitive damages, including loss of profits, revenue, or business reputation resulting from platform usage or service interruptions.

9. Governing Law and Dispute Resolution

These Terms and any dispute arising out of or related to platform usage shall be governed by and construed in accordance with the substantive laws of the Republic of Azerbaijan.

Any dispute, controversy, or claim arising under or relating to these Terms shall be resolved through friendly negotiations. If amicable settlement cannot be reached within thirty (30) days, disputes shall be submitted to the competent courts of the Republic of Azerbaijan.
